This Electronic Records & Signatures Disclosure and Consent (this "Disclosure") is provided to you under the U.S. federal Electronic Signatures in Global and National Commerce Act (the "ESIGN Act", 15 U.S.C. § 7001 et seq.) and applicable state enactments of the Uniform Electronic Transactions Act ("UETA"). Please read it carefully before you adopt your electronic signature or check the consent box. ArmorSign is an electronic-signature service provided by Armorstack, LLC ("Armorstack", "we", "us", or "our"), Waukesha, Wisconsin. Armorstack supplies the signing technology and the evidence of signing; the person or organization that sent you this document (the "Sender") is the party to the underlying agreement, and Armorstack is not a party to it. By proceeding, you (the "Signer") confirm that you are able to access this Disclosure and the document presented to you, and that you consent to do business electronically as described below.
By checking the consent box and completing the signing process, you agree to receive, review, and sign the document presented to you, together with its related records and disclosures, electronically rather than on paper. You further agree that the electronic signature you apply through ArmorSign is the legal equivalent of your handwritten signature, and that an electronic record so signed satisfies any legal requirement that the record be in writing or be signed. Under the ESIGN Act and UETA, a signature, contract, or record may not be denied legal effect, validity, or enforceability solely because it is in electronic form.
Your consent applies only to the specific document presented to you in this signing session and to the records associated with that signing, such as this Disclosure, the consent you provide, and the Certificate of Completion generated for the transaction. Your consent is given on a per-transaction basis. It does not obligate you to use electronic records or electronic signatures for any other document, matter, account, or relationship, whether with the Sender or with Armorstack. If you are later asked to sign a different document, you will have a separate opportunity to give or decline consent for that transaction.
When you complete signing, you create a binding electronic record. Your electronic signature evidences your intent to sign, your consent to the terms of the document, and identity attributes captured at the time of signing. The completed electronic record and the accompanying Certificate of Completion may be retained by the Sender, by Armorstack, and by you, and may be relied upon and introduced as evidence of the transaction in any legal, regulatory, or administrative proceeding to the same extent and under the same conditions as a paper record bearing a handwritten signature. You should not adopt your electronic signature unless you intend to be bound by the document you are signing.
Immediately after you finish signing, you may download the completed document together with its Certificate of Completion from the confirmation page and from the verification link provided to you. Copies remain available to you through that verification link during the applicable retention period.
You may also request an additional electronic copy or a paper copy of any record we provided or made available to you electronically. There is no charge for such a copy. To request an additional copy, contact the Sender, or contact Armorstack at solutions@armorstack.ai. Copy requests can be fulfilled while the record remains within the applicable retention period.
You may withdraw your consent to sign this document electronically at any time before you complete signing. To withdraw, simply close the signing page without submitting your signature, and notify the Sender that you wish to sign on paper instead. There is no fee for withdrawing your consent.
If you withdraw consent, the consequence is that the document will not be signed electronically through ArmorSign, and the Sender will decide how to proceed, including whether to provide a paper version or an alternative method. Withdrawing your consent applies only going forward; it does not affect the legal validity or enforceability of any electronic record that was provided, signed, or completed before your withdrawal took effect.
You are not required to sign electronically. You may ask the Sender to provide a non-electronic (paper) method for reviewing and signing the document instead. Because the Sender is the party to the underlying agreement, the Sender determines whether and how a paper alternative is made available to you.
Signing links, notifications, and copies are delivered to the email address that the Sender used to send you the document. It is your responsibility to provide and maintain an accurate, current email address so that you can receive and retain the records associated with your signing. If your email address changes, or if you can no longer access the email account at which you received the document, tell the Sender promptly so that records can be directed to a working address.
To access, sign, and retain the electronic records described in this Disclosure, you will need:
If our hardware or software requirements change in a way that creates a material risk that you will not be able to access or retain your electronic records, we will notify you of the revised requirements and give you the right to withdraw your consent without any fee, penalty, or condition.
To produce a reliable record of your signing, ArmorSign records the following at the time you sign:
These data points are written to an append-only audit trail that is printed on the Certificate of Completion accompanying your signed document. Personal information collected in connection with your signing is handled in accordance with our Privacy Policy.
